1.  drawing up and signing Memorandum of Association (UK) or Articles of 

Incorporation (US) – MA must contain:

2.  to file Memorandum of Association with the Registrar of Companies – zaregistrovat

incorporation – registrace nové společnosti, zápis do obchodního rejstříku 
to file with – registrovat u

Ultra vires doctrine 

-  says that a company may not engage in activity beyond its registered objects-  companies may do business only within its objects-  activities outside its capacity are said to be ultra vires-  can’t do anything which is not in clause

 
Insider trading (=insider dealing) – zneužívání informací v obchodním styku 

-  it’s a crime based on using inside knowledge to gain private profit when buying and 

selling company shares

-  directors and employees of companies are often in a position to know if a company’s 

shares are likely to rise or fall long before ordinary shareholders – as a result, they could 
make profits by buying or selling before everybody else, or by selling their special secret 
information
